1. CLG Accountants Pty Ltd trading as CLG Assurance & Advisory (ABN 28 149 592 781) of Level 27, 101 Collins Street, Melbourne, VIC 3000, Australia (CLG) provides the online courses on the site https://courses.clg-group.com.au (Site) including “The Essential Guide to ESG & Sustainability Governance for Board Directors and Officers” (Materials) to you, the user, on the following terms (Terms of Use). These Terms of Use govern your use of and access to the Materials. By clicking on the ‘Agree’ button, or otherwise accessing the Materials, you accept and agree to be bound by the Terms of Use.
  2. These Terms of Use may be updated from time to time so you should check this page regularly so you are aware of any updates we may post from time to time. CLG may also update the Materials from time to time.
  3. If you do not agree with these Terms of Use, included as updated or amended, please do not access or otherwise use the Materials.

    License and restrictions
  4. CLG grants to you a non-exclusive, non-transferable, limited licence to use the Materials solely for your personal use only and subject to and in accordance with these Terms of Use. Your access to the Materials will be limited to 183 days from your initial login (Term).
  5. You must not:
    a) use the Materials for any purpose or in any manner than as set out in clause 4;
    b) use the Materials in any way that could damage the reputation of CLG or the goodwill or other rights associated with the Materials;
    c) permit any third party to use the Materials;
    d) use the Materials in any matter or for any purpose that violates any law or regulation, promotes illegal activities, violates any third party terms of service, violates any right of any person, including but not limited to intellectual property rights, rights of privacy, or in any manner inconsistent with these Terms of Use;
    e) use the Materials in a product or service for commercial purposes or otherwise without our prior, written consent;
    f) except as expressly permitted by these Terms of Use, and except to the extent that applicable laws, including the Copyright Act 1968 (Cth), prevent us restraining you from doing so: reproduce, or otherwise reverse engineer the Material or create any derivative works based up on the Material or permit any third party to do so; modify or remove any copyright or proprietary notices on the Materials or use the Materials in a way that does not acknowledge CLG’s proprietary rights; or distribute the outputs generated from the Materials for other than your own personal purposes without express prominent acknowledgement of CLG but subject always to any other intellectual property rights including third party intellectual property rights affected by such use.
  6. Users must sign up to an account on the Site to access the Materials. Any username and passwords created by you or assigned by us must be kept safe and secure and only used by you. You must notify us immediately if you suspect that your user details have been compromised or stolen.

    Follow up sessions
  7. CLG also offers a services that allows you to purchase a follow-up session on the topics covered by the Materials with CLG as further detailed on our Site. The session is included as an add-on to the online course/s and is available as a bundled cost (Bundled Price). This service is also governed by these Terms of Use.
  8. Upon receiving payment, CLG will be in contact with you to organise the follow-up session to be conducted virtually at a mutually agreeable time. You must respond within a reasonable time to confirm your availability.
  9. At least 24 hours’ notice is required if you are unable to attend your scheduled appointment or CLG may retain the full fee for the session. If CLG need to delay or reschedule a session we will contact you to reschedule a mutually convenient time.

    Fees
  10. The payment of the applicable licence fee (if any) is set out on the Site and is a pre-condition of access to the Materials (Licence Fee). CLG reserves the right to charge additional or different fees for future use of, support for, or access to the Material in CLG’s sole discretion provided those charges are available in advance.
  11. The Licence Fee and Bundled Price will be expressed in AUD (unless stated otherwise) and is inclusive of any Goods and Services (GST) tax.
  12. The Licence Fee or Bundled Price is not refundable for change of mind. Any requests for a refund or part refund of any fees will be considered on a case by case basis in accordance with our consumer law obligations.

    Intellectual property
  13. You acknowledge and agree that:
    a) all intellectual property rights (including all copyright, patents, trade marks, design rights, trade secrets, domain names, know how or any other rights of a similar nature, whether registrable or not and whether registered or not) (Intellectual Property Rights) and other proprietary rights in the Materials and any outputs created using the Materials, and any modifications, updates or new releases of the Materials, and the source code any software incorporated into the Materials are owned exclusively by the CLG;
    b) you have no right, title or interest in the Materials or any of the outputs it produces other than the rights as licensee under these Terms of Use;
    c) CLG may in its absolute discretion deal with the Materials (including all Intellectual Property Rights) as the exclusive owner or licensee of the Materials;
    d) there is no transfer of title or ownership to you of the Materials.
  14. You warrant that in using the Materials, you will:
    a) act at all times to protect the value in the Materials and ensure that the Intellectual Property Rights and other proprietary rights in the Materials are not infringed in any way;
    b) comply with the directions of CLG in relation to the use of the Materials; and
    c) immediately cease to use the Materials in every manner whatsoever upon expiration or termination of these Terms of Use or upon an earlier written request by CLG which is not inconsistent with these Terms of Use.

    Warranties
  15. Other than as contained in these Terms of Use, and to the extent permitted by law, all express or implied warranties in respect of the Materials are excluded. In the event that any statute implies terms into these Terms of Use which cannot be excluded, such terms will apply to these Terms of Use.

    Liability and indemnity
  16. Materials may contain links to third-party websites or services that are not owned or controlled by CLG. CLG has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that CLG will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services. We advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
  17. The Materials are solely for educational purposes and have been created based on CLG's knowledge of the subject. The views expressed by CLG in the Materials are solely CLG’s own. 
  18. The Materials are not intended and should not be considered to be for the purpose of soliciting business for any of the companies mentioned in the Materials, nor does CLG advocate or endorse the services or products provided by these companies.

  20. To the extent allowed by law:
    a) CLG’s liability to you for any claim arising out of or relating to these Terms of Use will be limited in aggregate to the total licence fee paid by you (if any);
    b) CLG will not be liable in contract, tort (including negligence) or otherwise for any loss of revenue or profits, corruption or loss of data, loss of business or goodwill, or other indirect or consequential loss, which arises out of or in connection with the Materials; and
    c) CLG excludes all liability against any and all costs, claims, losses, liabilities and expenses that may arise out of or in connection with use of the Materials.

    General
  21. The following general clauses apply in relation to these Terms of Use:
    a) You may not assign the rights or benefits of these Terms of Use to any person except with the prior written consent of CLG.
    b) These Terms of Use and any schedules referred to constitute the entire agreement between the parties regarding the matters set out in the Terms of Use and supersede any prior representations, understandings or arrangements made between the parties, whether orally or in writing.
    c) A right created by these Terms of Use cannot be waived except in writing signed by the party entitled to that right.  Delay by a party in exercising a right does not constitute a waiver of that right, nor will a waiver (either wholly or in part) by a party of a right operate as a subsequent waiver of the same right or of any other right of that party.
    d) If any clause or part of any clause is in any way unenforceable, invalid or illegal, it is to be read down so as to be enforceable, valid and legal.  If this is not possible, the clause (or where possible, the offending part) is to be severed from these Terms of Use without affecting the enforceability, validity or legality of the remaining clauses (or parts of those clauses) which will continue in full force and effect.
    e) Nothing in these Terms of Use creates a joint venture, partnership, or the relationship of principal and agent, or employee and employer between the parties.
    f) The laws applicable in Victoria Australia govern these Terms of Use. The parties submit to the non-exclusive jurisdiction of the courts of Victoria Australia and any courts competent to hear appeals from those courts.
